This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of the website Dreshare.com

The domain name Dreshare.com (hereinafter referred to as "Website") is owned by Dreshare Technology. For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any legitimate person who is viewing/browsing the Website and/or has agreed to avail the Services provided through the Website by providing the required information while registering on the Website. The term "We", "Us", "Our", "Dreshare", "Dreshare.com" used in these Terms shall mean Dreshare Technology.

1. ACCEPTANCE TO TERMS OF USE

The use of this Website by You is solely governed by these Terms of Use ("Terms" or "Terms of Use") and any policy/terms so mentioned by terms of reference. Browsing the Website or use of the services offered through the Website shall be taken to mean that You have read and agreed to Terms of Use so binding in You and that You are contracting with Dreshare and have undertaken binding obligations with Dreshare. By expressly accepting these Terms of Use, You also accept and agree to be bound by Privacy Policy available at /privacy-policy, which may be amended from time to time.

You will be subject to the rules, guidelines, policies, terms, and conditions applicable to any service that is provided by this Website, and they shall be deemed to be incorporated into this Terms of Use and shall be considered as part of Terms of Use.

2. AMENDMENT/MODIFICATION OF TERMS/SERVICES

We hold the sole right to modify the Terms of Use without prior permission from You or informing You. The relationship creates on You, a duty to periodically check these Terms and stay updated on its requirements. If You continue to browse/use the Website following such a change, this is deemed as consent by You to the so amended policies.

Dreshare, reserves its right to withdraw wholly or partly, without assigning any reason, any of Services offered through the Website with or without any notice.

3. SCOPE OF SERVICES

Dreshare offers an array of online services including but not limited to listing of stores on the website for selling, renting, stitching clothes from them. You can interact with your neighbours, apartment complex accounting, registration of society, posting classified advertisements, services offered by various third party vendors ("Services"). The services offered by Dreshare / third party vendors may be availed by both individuals and organizations such as store owner or freelancer. You are permitted to sell, rent stitch your clothes/ requirements / advertisements on our website as long as such posting is genuine and is in accordance with the Terms. Further, with your consent, You may authorize any person, including Dreshare, to carry out the postings on your behalf and such postings shall also be in accordance with the Terms. You shall be solely liable for any posting done by you or by any person on your behalf or with your consent.

4. REGISTRATION OBLIGATION AND MEMBERSHIP

In order to avail the various services offered by us, you are required to register with Dreshare. If you represent an organization and wish to use the Services for your organization, we recommend that You, and all other users from your organization, sign up for user accounts by providing your corporate contact information. The membership of this website is available only to those above the age of 18 barring those Incompetent to Contract™ which inter alias include insolvents and the same is not allowed to minors as described by the Indian Contract Act, 1872. If you are a minor and wish to browse/use the Website, you may do so through your legal guardian and Dreshare reserves the right to terminate your account on knowledge of you being a minor and using the membership of the Website.

Further, you are solely responsible for protecting the confidentiality of your username and password and any activity under the account will be deemed to have been done by you. You agree to: a) provide true, accurate, current and complete information about yourself as prompted by the sign up process; and b) maintain and promptly update the information provided during sign up to keep it true, accurate, current, and complete. In the event you provide us with false and inaccurate details or Common Floor has a valid reason to believe that false and inaccurate information has been furnished, we hold the rights to permanently suspend your account and levy penalty (esp. for brokers who list as owners or builders providing fake info).

5. PAYMENT OBLIGATION

The charges/fees for the various Services offered by Dreshare have been clearly set forth in the Website. There are both paid services and free services offered thorough the Website. The details of the Services that are offered without charges and with charges are clearly set out in Website or You may communicate with us at contact@dreshare.com to get more information. You understand that the Services offered without any charges are restricted (as per the information you may have obtained from Dreshare or as may be seen while availing the said Services). Hence You may be required to pay the amounts, communicated by us or set forth in the Website, if you wish to avail any Services other than the free Services offered. Dreshare reserves the right to alter/modify the amounts payable for the Services without any prior notice. The details of cancellation and refund is provided in this. There will be no refund of any amounts paid by you for availing the various Services offered through the Website, except expressly stated else where Dreshare may offer certain discounts or other offers for the various Services. The terms and conditions of the offers/discounts shall be clearly set forth in the Website and the same may be time bound and hence you may not claim any offers/discounts when the time for the same has lapsed/expired. There are specific services which are offered directly by third party vendors and the role of DRESHARE in such cases is only to post the availability of such services on our website. DRESHARE will not be liable or responsible in any way for such services or the quality of such services. Any payments being made by Users do not accrue to DRESHARE and DRESHARE will not entertain any requests for information / clarification regarding such Services.

6. TERMS AND CONDITIONS FOR AVAILING THE SERVICES -

a. Eligibility. Use of the Site and Services is limited to parties that lawfully can enter into and form contracts under applicable law. For example, minors are not allowed to use the Services. To register for selling, renting or stitching clothes, you must provide your real name, pan card, aadhaar card, phone number, e-mail address, business registered certificates. You represent and warrant that: (a) if you are a business, you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for the Services within such country; (b) you have all requisite right, power and authority to enter into this Participation Agreement and perform your obligations here under; and (c) any information provided or made available by you or your affiliates to Dreshare or its affiliates is at all times accurate and complete.

b. Sellers' Listing Fees and Payment Terms. All listing fees are in Indian rupees unless stated otherwise and are incorporated herein by reference. The Fee Schedule and Payment Terms may vary in the future. The Fee Schedule and Payment Terms in effect on the date of sale of the item shall govern the transaction. You should check the fees and terms each time you participate.

c. Our promotional poster and signage on your Store: You have to use our promotional poster and signage on your store/boutique when you are aggregating with us. You are advice to promote us so that we can promote you in business.

7. Applicable Policies and Guidelines:

Collection of your Personal Information

Dreshare.com has limited control over the quality, timing or legality of Services delivered

by Dreshare Service Provider. Dreshare.com makes only a sincere attempt to provide best

service and hence does not take full responsibility of suitability, reliability, timeliness, or

accuracy of the Services requested and provided by Users. Although Dreshare.com does

perform background checks of Dreshare Service Provider, Dreshare.com cannot confirm that

each User is who they claim to be. Dreshare.com does not assume any responsibility for the

accuracy or reliability of this information or any information on the Service.

NEITHER DRESHARE.COM NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE

FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE

SERVICE. DRESHARE.COM AND ITS AFFILIATES AND LICENSORS WILL NOT BE

LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH

YOUR USE OF THE SERVICE.

Modifications to the Service

Dreshare.com reserves the right in its sole discretion to review, improve, modify or

discontinue, temporarily or permanently, the Service or any content or information on the

Service with or without notice. Dreshare.com will not be liable to any party for any

modification or discontinuance of the Service.

Indemnification

You hereby agree to indemnify, defend, and hold harmless Dreshare.com, its directors,

officers, employees, agents, licensors, attorneys, independent contractors, providers,

subsidiaries, and affiliates from and against any and all claim, loss, expense or demand of

liability, including attorneys' fees and costs incurred, arising from your use or inability to use

the Services.

8. Dreshare's Role:

i) Dreshare provide an online digital platform for your fashion store, shops or boutique to list your dresses for selling, renting or stitching through online.

ii) Dreshare has a online marketing team which advertise your store, shop or boutique online.

iii) Dreshare has a back-end team which helps you to generate order online.

iv) Dreshare helps your business to standardize as per industrial standards.

Note: Dreshare will never target such amount of orders, orders are completely based on quality of your listed product and at what price you are selling it. Dreshare role only will be to meet online customer to your products.

9. Billing and Payment Policy: You have to pay monthly seller listing fees via online or cash payment methods.

You have to generate a valid legal bill with our commission and taxes. When your product got an order we will give to billing amount via online on cash payment methods excluding our commission and tax on it.

10. Dreshare Reservation of Rights. Dreshare retains the right to determine the content, appearance, design, functionality and all other aspects of the Site and the Services (including the right to re-design, modify, remove and alter the content, appearance, design, functionality, and other aspects of the Site and the Service and any element, aspect, portion or feature thereof, from time to time), and to delay or suspend listing of, or to refuse to list, or to de-list, or to require Seller not to list, any or all products in our sole discretion. We may in our sole discretion withhold for investigation, refuse to process, restrict shipping destinations for, stop and/or cancel any of Your Transactions. You will stop and/or cancel orders of your products if we ask you to do so (provided that if you have transferred your products to the applicable carrier or shipper, you will use commercially reasonable efforts to stop and/or cancel delivery by such carrier or shipper). You will refund any customer (in accordance with this Participation Agreement) that has been charged for an order that we stop or cancel.

11. Dreshare Participation. Employees of Dreshare and its affiliates are permitted to participate in their personal capacity (i.e., not as Dreshare employees, representatives, or agents of Dreshare or its affiliates) in the transactions conducted through this Site (unless they have confidential information about a particular item). Employees of Dreshare and its affiliates, when participating in any transaction in their personal capacity, are subject to this Participation Agreement and the same procedures and guidelines as any Buyer or Seller on this Site.

i. Sale price of product: You are advice to set a decent sale price of your product with our commission. For instant if you set a high price of your product 90% times you never got order online, because online market is transparent market. A user can compare that price with other vendor in a few clicks. So if you set a appropriate price of your product than you are most likely to be successful in online selling market.

Our representative will research that price and negotiate with you till we both got on a fixed decent profitable price of that product.

12. Your Transactions

i. For sales where a Seller lists goods at a fixed price ("fixed price sales"), the Seller is obligated to sell the goods at the listed price to Buyers who meet the Seller's terms. By listing an item in a fixed price sale, you represent and warrant to prospective Buyers that you have the right and ability to sell, and that the listing is accurate, current, and complete and is not misleading or otherwise deceptive.

ii. For fixed price sales, Seller will determine the purchase price for each item he or she lists on the Site via and subject to Dreshare.com's standard functionality for listing the purchase price, provided that Seller must abide by the same procedures and guidelines.

13. Your Obligation. By entering into this Participation Agreement and posting a listing for fixed price sale, you agree to complete the transaction as described by this Participation Agreement. You acknowledge that by not fulfilling these obligations, your action or inaction may be legally actionable.

14. Seller Taxes. You agree that it is the Seller's responsibility to determine whether Seller Taxes apply to the transactions and to collect, report, and remit the correct Seller Taxes to the appropriate tax authority, and that Dreshare is not obligated to determine whether Seller Taxes apply and is not responsible to collect, report, or remit any sales, use, or similar taxes arising from any transaction, except to the extent Dreshare Payments expressly agrees to receive taxes or other transaction-based charges in connection with tax calculation services made available by Dreshare and used by Seller. "Seller Taxes" means any and all sales, goods and services, use, excise, import, export, value added, consumption and other taxes and duties assessed, incurred or required to be collected or paid for any reason in connection with any advertisement, offer or sale of products by you on or through the Site, or otherwise in connection with any action, inaction or omission of you or any of affiliate of yours, or any of your or their respective employees, agents, contractors or representatives.

15. Returns and Refunds: When we deliver order , in case customer don’t like the product he will return it to us. For local Delhi NCR return period will be 12 hr from receiving product from you. You are advise to refund the amount when you receive your returned order.

16.Dispute Resolution and Governing Law

In case of any dispute between the Users and Dreshare.com, the parties agree to resolve the

matter amicably vide arbitration under the Indian Arbitration & Conciliation Act, 1996. The

venue of the arbitration shall be Delhi, India. The language of the arbitration shall be

English. Special Promotions

Dreshare.com may from time to time provide certain promotional opportunities to

Dreshare Customer All promotions will be run at the sole discretion of Dreshare.com, and

can be activated, modified or removed at anytime by Dreshare.com without advance

notification.

In the event that you are given a code by or on behalf of Dreshare.com through which you

may refer a friend to Dreshare.com in exchange for a referral credit, you shall not use any

online marketing or advertising to promote such code or to artificially increase the amount of

credits awarded. By way of example, you may not post, or cause, request or permit a third

party to post any such code on a coupon website, nor use any paid search marketing, online

advertising, forum posting, newsgroup posting or bulk email to disseminate such code. You

may only share such code with your personal friends and acquaintances for legitimate referral

purposes, as determined by Dreshare in its sole discretion. Without limiting Dreshare.com's

other rights and remedies, Dreshare.com may terminate such code and/or your account for

any breach of this Section.

No Agency

No independent contractor, agency, partnership, joint venture, employer-employee or

franchiser- franchisee relationship is intended or created by this Agreement.

17. Illegal Activity

i. Compliance with Laws; Fraud. The Site and Services may be used only for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes, and regulations. You may not register under a false name or use an invalid or unauthorized credit card. You may not impersonate any participant or use another participant's password(s). Such fraudulent conduct is a violation of federal and state laws. Fraudulent conduct may be reported to law enforcement, and Dreshare will cooperate to ensure that violators are prosecuted to the fullest extent of the law.

ii. Investigation. Dreshare has the right, but not the obligation, to monitor any activity and content associated with this Site and investigate as we deem appropriate. Dreshare also may investigate any reported violation of its policies or complaints and take any action that it deems appropriate. Such action may include, but is not limited to, issuing warnings, suspension or termination of service, denying access, and/or removal of any materials on the Site, including listings. Dreshare reserves the right and has absolute discretion to remove, screen, or edit any content that violates these provisions or is otherwise objectionable.

iii. Disclosure of Information. Dreshare also reserve the right to report any activity that either of them suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties. In order to cooperate with governmental requests, to protect Dreshare's systems and customers, or to ensure the integrity and operation of Dreshare's business and systems, Dreshare may access and disclose any information it considers necessary or appropriate, including but not limited to user contact details, IP addressing and traffic information, usage history, and posted content.

18. No Warranties. THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS. DRESHARE MAKE ANY OTHER REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

i. THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

ii. THAT THE SITE OR THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OR OPERATE WITHOUT ERROR;

iii. THAT THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SITE WILL BE AS REPRESENTED BY SELLERS, AVAILABLE FOR SALE AT THE TIME OF FIXED PRICE SALE, LAWFUL TO SELL, OR THAT SELLERS OR BUYERS WILL PERFORM AS PROMISED;

iv. ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE; AND

v. ANY OBLIGATION, LIABILITY, RIGHT, CLAIM, OR REMEDY IN TORT, WHETHER OR NOT ARISING FROM THE NEGLIGENCE OF DRESHARE OR DRESHARE PAYMENTS.
TO THE FULL EXTENT PERMISSIBLE UNDER APPLICABLE LAW, DRESHARE AND DRESHARE PAYMENTS DISCLAIM ANY AND ALL SUCH WARRANTIES.

19. Indemnity/Limitation of Liability.

i. Indemnity and Defense. You will defend, indemnify and hold harmless Dreshare, and each of their affiliates (and their respective employees, directors, agents and representatives) from and against any and all claims, costs, losses, damages, judgments, penalties, interest and expenses (including reasonable attorneys' fees) arising out of any Claim that arises out of or relates to: (i) any actual or alleged breach of your representations, warranties, or obligations set forth in this Participation Agreement; or (ii) your own website or other sales channels, the products you sell, any content you provide, the advertisement, offer, sale or return of any products you sell, any actual or alleged infringement of any intellectual property or proprietary rights by any products you sell or content you provide, or Seller Taxes or the collection, payment or failure to collect or pay Seller Taxes. For purposes hereof: "Claim" means any claim, action, audit, investigation, inquiry or other proceeding instituted by a person or entity.

ii. Limitation of Liability. DRESHARE WILL BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE PARTICIPATION AGREEMENT, THE SITE, THE SERVICES, THE TRANSACTION PROCESSING SERVICE, THE INABILITY TO USE THE SERVICES OR THE TRANSACTION PROCESSING SERVICE, OR THOSE RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICES.

20. Disputes. Because is the agent of Seller and is not the agent of Buyer for any purpose, except as set out in Section 5, Dreshare will act as either party's agent in connection with resolving any disputes between participants related to or arising out of any transaction. Dreshare urges Sellers and Buyers to cooperate with each other to resolve such disputes.

21. Your Grant. By entering into this Participation Agreement and listing an item, you grant us a royalty-free, non-exclusive, worldwide, perpetual, irrevocable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all of the content you submit to Dreshare and its affiliates, and to sublicense the foregoing rights to our affiliates and operators of any website or other online point of presence (other than the Site) through which the Site and/or products or services available thereon are syndicated, offered, merchandised, advertised or described; provided, however, that we will not alter any of your trademarks (i.e., trademarks of yours that you provide to us in non-text form for branding purposes that are separate from and not embedded or otherwise incorporated in any product specific information or materials) from the form provided by you (except to re-size trademarks to the extent necessary for presentation, so long as the relative proportions of such trademarks remain the same) and will comply with your removal requests as to specific uses of your trademarks (provided you are unable to do so using standard functionality made available to you via the Site or Services); provided further, however, that nothing in this Participation Agreement will prevent or impair our right to use without your consent the content and any other materials provided by you, to the extent that such use is allowable without a license from you or your affiliates under applicable law (e.g., fair use under copyright law, referential use under trademark law, or valid license from a third party). You represent and warrant that you own or otherwise control all of the rights to the content you submit to Dreshare and its affiliates, and that the use of such materials by Dreshare and its affiliates will not infringe upon or violate the rights of any third party.

22. Product Packaging: Ordered products should be packaged properly so that we can deliver it properly at our convenient.

23. Termination. Dreshare, in its sole discretion, may terminate this Participation Agreement, access to the Site or the Services, or any current fixed price sales immediately without notice for any reason. Dreshare, in its sole discretion, also may prohibit any Seller from listing items for fixed price sales.

24. Changes to this terms and the Service

Dreshare.com reserves the right, at its sole and absolute discretion, to change, modify, add

to, supplement or delete any of the terms and conditions at any time, effective with or without prior notice. If any future changes to this Agreement are unacceptable to you or cause you to no longer be in compliance with this Agreement, you must terminate, and immediately stop using, the Service. Your continued use of the Service following any revision to this Agreement constitutes your complete and irrevocable acceptance of any and all such changes. Dreshare.com may change, modify, suspend, or discontinue any aspect of the Service at any time. Dreshare.com may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.

25. REGULATION OF USAGE OF WEBSITE

The User agrees and undertakes not to reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Website.

You agree not to use the Website (including, without limitation, any Services you may obtain through your use of the Website):

in a manner that violates any local, state, national, foreign, or international statute, regulation, rule, order, treaty, or other law;
to stalk, harass, or harm another individual or organization;
to impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity;
to interfere with or disrupt the Website or servers or networks connected to the Website.

Without limiting the foregoing, you may not list or sell any prohibited / banned items in the Market Place.

You agree not to submit any property descriptions, photographs, financial, contact or other information contained in each Property's data to the Website unless You have acquired received all necessary rights and authorizations from the owner of such property or the power-of-attorney holder, including from the photographer and/or copyright owner of any photographs, to publish and advertise the said property(s) on the Website. Photographs with any watermark are prohibited.

26. INTELLECTUAL PROPERTY RIGHTS

All logos, brands, trademarks and service marks ("Marks") appearing in Website are the stores either owned or used under license by Dreshare. All rights accruing from the same, statutory or otherwise, wholly vest with Dreshare. The access to this Website does not confer upon you any license or right to use in respect of these Marks and therefore the use of these Marks in any form or manner, whatsoever is strictly prohibited. Any violation of the above would constitute an offence under the prevailing laws of India.

Dreshare respects the Intellectual Property Rights of all, it has and will continue to adhere to all the laws applicable in India in this respect. Dreshare shall respect the Intellectual Property Rights of the users as well as third parties. In a case where a User/s are found to be using Website as a platform to infringe the Intellectual Property Rights of others, Dreshare will be free to terminate the said User/s account forthwith without any notice to the user.

27. GOVERNING LAW

By accessing the Website you agree that the laws prevailing in India shall be the governing laws in all matters relating to these Terms.
